These Terms of Service (the “Terms”) constitute a legally binding agreement between you and SAIBI governing your access to and use of the SAIBI wholesale marketplace, including the website and related applications and services (collectively, the “Platform”). SAIBI is a business-to-business platform that connects footwear sellers and wholesale buyers; by using the Platform, you confirm that you are acting in a business or professional capacity.
By registering an account, placing an order or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy and the policies referenced here. If you do not agree, please do not use the Platform. Individual orders may be subject to additional terms confirmed at order confirmation; where such order terms conflict with these Terms, the order terms prevail for that order.
The Platform is available to businesses and professional buyers only. You must be at least 18 years old and have the legal capacity to enter into binding contracts. When registering, you agree to provide accurate, current and complete information about your company and contact person, and to keep it up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Please notify us immediately of any unauthorized use. We may verify the information you provide, request supporting business documents, and suspend or terminate accounts that provide false information or breach these Terms.
Products on the Platform are offered at wholesale prices subject to a minimum order quantity (MOQ) and tiered quantity pricing. The MOQ and available price tiers are displayed on each product listing and may vary by style, size run, colorway and seller.
Tiered pricing is applied by order quantity per style or per listing, as stated on the product page. Where a listing does not specify how quantities are counted toward a tier (for example, whether mixed sizes count toward the same tier), the interpretation and final tier assignment are determined by SAIBI at order confirmation. Quotations issued by sellers or account managers override the listed tiers for that order only.
Sellers may adjust MOQs and tier prices from time to time. The version in force at the time your order is confirmed applies to that order.
All prices on the Platform are quoted in United States dollars (USD). Displays in other currencies are for reference only and converted at an indicative rate; the USD price prevails in the event of any discrepancy.
Listed prices cover the goods only and exclude freight, insurance, duties and taxes unless expressly stated otherwise. The total payable amount for each order — goods, freight and any confirmed services — is stated in the order confirmation.
We currently support payment by T/T (bank transfer) and PayPal. Orders enter processing once payment is received in full and cleared, or as otherwise agreed in the order confirmation. You are responsible for any bank charges, intermediary fees or currency conversion costs arising on your side of the payment.
Orders are dispatched from seller warehouses in accordance with our Shipping Policy, which forms part of these Terms. The shipping method, Incoterm and estimated transit time are confirmed for each order.
Unless the order confirmation provides otherwise, title to and risk of loss of the goods pass to you when the goods are handed over to the carrier at the seller’s warehouse or other agreed point of origin. We strongly recommend arranging cargo insurance for air and sea freight; we can assist in arranging insurance on request.
You are responsible for providing accurate delivery and import information, and for import clearance, duties and taxes as described in the Shipping Policy. Re-delivery or storage costs arising from incorrect or incomplete information provided by you are for your account.
The Platform, including its design, text, graphics, logos, software and databases, is owned by SAIBI or its licensors and is protected by intellectual property laws. You may not copy, scrape, systematically download or otherwise use Platform content outside normal buying and selling activity without our prior written consent.
Product listings, images and trademarks are provided by the respective sellers, who are responsible for ensuring they hold the rights necessary to publish them. SAIBI respects intellectual property rights and provides a channel for rights holders to report infringement; listings found to infringe may be removed, and repeat infringers may lose selling privileges.
By uploading or submitting content to the Platform (for example, through inquiries or account information), you grant SAIBI a non-exclusive, worldwide, royalty-free license to use that content solely to operate and improve the Platform.
The Platform is provided on an “as is” and “as available” basis. While we work hard to keep it accurate and available, we do not warrant that the Platform will be uninterrupted, error-free or free of harmful components.
Product information, images, specifications and certificates are supplied by the respective sellers. SAIBI verifies seller qualifications and conducts quality control, but does not manufacture the goods and makes no independent warranty as to merchantability, fitness for a particular purpose or non-infringement beyond what is stated in the order confirmation and the applicable policies.
Colors and appearance may vary between screens and finished goods, and slight production tolerances customary in footwear manufacturing do not by themselves constitute defects. Nothing in this section limits rights that cannot be excluded under mandatory applicable law.
To the maximum extent permitted by law, neither SAIBI nor its sellers, service providers or affiliates shall be liable for any indirect, incidental, special, punitive or consequential damages, or for loss of profits, revenue, data or business opportunities, arising from or in connection with your use of the Platform or any order.
SAIBI’s total aggregate liability for any claim arising out of or in connection with an order is limited to the amount you actually paid for that order. For claims not connected with a specific order, our total liability is limited to the fees you paid to SAIBI in the twelve (12) months preceding the claim.
Nothing in these Terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot be excluded or limited under applicable law.
These Terms and any dispute arising out of or in connection with them are governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to purchases made through the Platform.
We will first seek to resolve any dispute amicably — please contact support@saibifly.com. If a dispute cannot be resolved through negotiation within thirty (30) days, it shall be finally settled by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its rules in force at the time of the submission, seated in Hong Kong and conducted in English before one arbitrator.
We may revise these Terms from time to time to reflect changes in the Platform, our services or applicable law. The date at the top of this page indicates when the Terms were last updated. Material changes will be notified through a notice on the Platform or by email before they take effect.
Your continued use of the Platform after the updated Terms take effect constitutes acceptance of the changes. If you do not agree with the updated Terms, please stop using the Platform and contact support@saibifly.com regarding any pending orders.
